Regional Board


Missions
	Appointment of the members of the board of trustees for the period of their terms in office
	Termination of the foundation, merger with other foundations, adoption and amendment of the purpose of the foundation.


Self-restraint
	placement of the foundation under the governmental supervision of Berlin according to the rules of the Berlin Foundation Act
	Amendments of the purpose of the foundation require the approval of the governmental supervisor and the competent tax office.

Board of management


Composition
	The board of management consists of at least three members. The board of management elects a chairman of the board and up to two deputy chairmen.


Missions
	The board of management is fully responsible for the management of the foundation according to the rules stipulated in the statutes. The judicial and extrajudicial representation shall correspond to the chairman of the board or his deputy chairmen.


Self-restraint
	Double-entry accounting according to commercial best practice. Audit of the annual financial report by an accounting firm to be appointed by the board of trustees.

Board of trustees


Composition
	The Federal Chairman of the Federal Union of Workers’ Welfare Associations, registered association (Arbeiterwohlfahrt Bundesverband e.V.) or a deputy from the Federal Board of Management,
	the Regional Chairman of the Regional Berlin Federation of Workers’ Welfare Associations, registered association (Arbeiterwohlfahrt Landesverband Berlin e.V.),
	three further members of the regional committee of the Regional Berlin Federation of Workers’ Welfare Associations,
	and personalities from the sectors of health and social care, children and youth care, education or research.


Missions
	Election and recall of the board of management,
	supervision and discharge of the board of management after the audit of the annual financial report,
	adoption of the annual business plan,
	appointment of the auditor for the audit of the annual financial report,
	amendments of the statutes as well as termination of the foundation or its merger with other foundations,
	adoption of rules for the remuneration of board members, as far as they are em-ployed, and the reimbursement of expenditures and out-of-pocket expenses of board members and trustees working as volunteers,
	appointment of the members of the scientific advisory board or other advisory boards.
